These Terms of Service (“Terms”) govern your access to and use of the VaultGuardian website at vaultdec.com (the “Site”) and the purchase and use of VaultGuardian hardware and firmware products (“Products”), operated by VaultGuardian (“we,” “us,” or “our”).
By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site or purchase our Products.
1. Account Registration
To place an order, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@vaultdec.com of any unauthorized use of your account. You must be at least 18 years of age to create an account and place orders.
2. Pre-Orders & Shipping
IMPORTANT — PRE-ORDER TERMS
The VaultGuardian DEC-1 is currently available for pre-order. Pre-order means you are placing an order for a product that has not yet shipped. All pre-orders are subject to the terms below.
2.1 Estimated Ship Date
The estimated ship date for each product is displayed on the product page and in your order confirmation. This date is an estimate and may be subject to change due to supply chain constraints, manufacturing timelines, or other factors beyond our control.
2.2 Payment
Payment is processed at the time you place your pre-order. All payments are handled securely by Stripe. We accept major credit cards and other payment methods as displayed at checkout.
2.3 Shipping Delays
If we are unable to ship your order by the estimated ship date, we will notify you via email with a revised shipping date (or, if we cannot determine a revised date, a statement to that effect). You will have the option to:
(a) Consent to the revised shipping date and keep your order; or
(b) Cancel your order and receive a full refund to your original payment method.
If the delay exceeds thirty (30) days beyond the original estimated ship date and we have not received your express consent to continue waiting, your order will be automatically cancelled and a full refund will be issued. This is in accordance with the FTC’s Mail, Internet, or Telephone Order Merchandise Rule.
2.4 Pre-Order Cancellation
You may cancel your pre-order at any time before your order ships by contacting us at support@vaultdec.com. Cancellations will be processed within seven (7) business days, and you will receive a full refund to your original payment method.
3. Pricing & Taxes
All prices are displayed in US Dollars (USD). Prices are subject to change at any time, but changes will not affect orders that have already been placed and confirmed. Applicable sales tax will be calculated and displayed at checkout based on your shipping address, as required by law.
4. Shipping & Delivery
We currently ship to addresses within the United States. Shipping costs, if any, are calculated and displayed at checkout. Risk of loss and title for Products pass to you upon delivery to the carrier. We are not responsible for delays caused by the shipping carrier after the product has been handed off for delivery.
5. Returns & Refunds
5.1 30-Day Return Policy
If you are not satisfied with your VaultGuardian product, you may return it within thirty (30) days of delivery for a full refund of the purchase price. The product must be in its original packaging and in substantially the same condition as received. Return shipping costs are the responsibility of the buyer unless the return is due to a defect or an error on our part.
5.2 Defective Products
If your product arrives defective or is damaged during shipping, we will replace it or issue a full refund at our discretion. We will cover return shipping costs for defective products. Please contact us within fourteen (14) days of delivery to report a defect.
5.3 Refund Processing
Approved refunds will be processed within seven (7) business days of receiving the returned product (or of approving the refund for pre-order cancellations). Refunds are issued to the original payment method. Depending on your payment provider, it may take an additional 5–10 business days for the refund to appear on your statement.

6.1 Hardware Warranty
VaultGuardian warrants that the DEC-1 hardware will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of delivery (the “Warranty Period”). This is a limited warranty as defined by the Magnuson-Moss Warranty Act.
6.2 Firmware Updates
Your purchase includes one (1) year of firmware updates from the date of delivery, including security patches, bug fixes, and feature improvements at our discretion.
6.3 Warranty Remedies
If a hardware defect is reported during the Warranty Period, we will, at our option: (a) repair the product, (b) replace the product with a new or refurbished unit of equal or greater functionality, or (c) refund the original purchase price. We will cover shipping costs for warranty repairs and replacements.
For California residents: If a defect is not repaired within thirty (30) days, you are entitled to a replacement or refund under the Song-Beverly Consumer Warranty Act. The warranty period is automatically extended by the number of days the product is out of your possession for repairs.
6.4 What Is Not Covered
This warranty does not cover:
• Damage caused by misuse, abuse, accident, or unauthorized modification
• Damage caused by operating the product outside its documented specifications (voltage, temperature, humidity)
• Normal wear and tear
• Damage caused by third-party software, firmware, or hardware modifications not authorized by VaultGuardian
• Consumable components (e.g., power adapters) after 90 days
6.5 Implied Warranties
To the extent permitted by applicable law, all implied warranties, including the implied warranty of merchantability and fitness for a particular purpose, are limited in duration to the Warranty Period. Some jurisdictions, including California, do not allow limitations on the duration of implied warranties, so this limitation may not apply to you.
6.6 How to Make a Warranty Claim
To submit a warranty claim, contact us at support@vaultdec.com with your order number and a description of the issue. We will provide return instructions and a prepaid shipping label if applicable.
7. Firmware & Intellectual Property
7.1 License Grant
Upon purchase, we grant you a non-exclusive, non-transferable, revocable license to use the VaultGuardian firmware solely on the VaultGuardian hardware device you purchased, for its intended purpose of network security monitoring.
7.2 Restrictions
You may not:
• Copy, modify, distribute, sell, or sublicense the firmware
• Reverse engineer, decompile, or disassemble the firmware, except as expressly permitted by applicable law
• Remove or alter any proprietary notices or labels on the firmware
• Use the firmware on hardware other than the VaultGuardian device it was licensed for
7.3 Ownership
All intellectual property rights in the VaultGuardian firmware, software, website, documentation, and branding remain the exclusive property of VaultGuardian. Your purchase of the hardware does not transfer any intellectual property rights to you beyond the license described in Section 7.1.
8. Security Product Disclaimer
IMPORTANT NOTICE
VaultGuardian is designed as a defense-in-depth layer for network security. No security product can guarantee complete protection against all threats. VaultGuardian is intended to complement — not replace — a comprehensive security strategy.
VaultGuardian monitors egress traffic and responds to anomalies based on deterministic thresholds. While we believe our approach is effective at detecting data exfiltration, we make no guarantee that the product will detect or prevent all unauthorized data transfers, cyberattacks, or security breaches. Threat actors continually evolve their techniques, and no single security control is infallible.
You are solely responsible for implementing a comprehensive security program appropriate for your environment, including but not limited to access controls, patch management, backup strategies, intrusion detection, and incident response planning.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall VaultGuardian, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of data, loss of profits, loss of business, cost of replacement goods or services, or damages resulting from a security breach or cyberattack, whether arising from contract, tort (including negligence), strict liability, or any other legal theory, even if VaultGuardian has been advised of the possibility of such damages.
Our total aggregate liability for any claims arising out of or related to these Terms or your use of our Products shall not exceed the amount you paid for the specific Product giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
10. Indemnification
You agree to indemnify, defend, and hold harmless VaultGuardian and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your: (a) violation of these Terms, (b) use or misuse of the Products, or (c) violation of any applicable law or regulation.
11. Acceptable Use
You agree to use our Site and Products only for lawful purposes and in accordance with these Terms. You may not use our Products to:
• Intercept, monitor, or surveil network traffic that you do not own or have authorization to monitor
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the rights of any third party
12. Electronic Communications
By creating an account or placing an order, you consent to receive electronic communications from us, including order confirmations, shipping notifications, warranty information, and product safety advisories. These transactional communications are not marketing and are necessary for us to fulfill our obligations to you. You agree that all agreements, notices, and communications that we provide electronically satisfy any legal requirement that such communications be in writing, in accordance with the Electronic Signatures in Global and National Commerce Act (E-Sign Act).
13. Dispute Resolution
If you have a dispute with us, we encourage you to first contact us at support@vaultdec.com so we can try to resolve the matter informally. Most issues can be resolved quickly through direct communication.
If we are unable to resolve a dispute informally, you and VaultGuardian agree that any dispute, claim, or controversy arising out of or relating to these Terms or the purchase or use of our Products shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. The arbitration shall take place in Orange County, California.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both you and VaultGuardian waive the right to a jury trial.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for claims within that court’s jurisdictional amount.
Note: Nothing in this section limits your rights under the Song-Beverly Consumer Warranty Act or other California consumer protection laws that cannot be waived by contract.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. To the extent any lawsuit or court proceeding is permitted under these Terms, you and VaultGuardian agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Orange County, California.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
16. Changes to These Terms
We reserve the right to update these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of this page and, for changes that materially affect your rights or obligations, by sending an email to the address associated with your account at least thirty (30) days before the changes take effect. Changes do not apply retroactively to orders already placed. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the updated Terms.
